Website Terms of Service

These Website Terms of Service ("Terms") govern your access to and use of the Preface Wine website at www.preface.wine (the "Site") and your purchase of products, memberships, tickets, and services offered through the Site or in our store. Please read them carefully.

1. Acceptance of These Terms

By accessing or using the Site, creating an account, placing an order, joining the Wine Club, or purchasing tickets to an event, you agree to be bound by these Terms and by the policies incorporated by reference in Section 13. If you do not agree to these Terms, please do not use the Site or make a purchase.

The party you are contracting with is Preface Wine, LLC, a Florida limited liability company, located at 279 NE 2nd Avenue, Delray Beach, FL 33444 ("Preface Wine," "we," "us," or "our").

2. Eligibility (21+)

The Site offers alcoholic beverages for sale. You must be at least 21 years of age to use the Site, create an account, or purchase products or event tickets. By using the Site, confirming your age at our age gate, or placing an order, you represent and warrant that you are 21 years of age or older and that you will not purchase alcohol on behalf of anyone under 21. Identification checks at delivery and pickup are governed by Part 1 of our Preface Policy Terms (Shipping & Delivery Policy).

3. Ordering and Payment

• All orders are offers to purchase and are subject to our acceptance. We may refuse, limit, or cancel any order at any time, including for suspected fraud, quantity limits, legal or licensing restrictions, or errors in pricing or product information.
• Prices, product descriptions, and availability may change without notice and may contain errors. If a product is listed at an incorrect price or with incorrect information, we may cancel the order and refund any amount charged.
• By submitting an order, you authorize us to charge your selected payment method for the total order amount, including applicable taxes, delivery fees, and other charges disclosed at checkout.
• Sales tax is applied as required by law. Promotional offers and discounts are subject to their stated terms and may be modified or withdrawn at any time.

4. Accounts

You may need an account to use certain features, including the Wine Club and our AI sommelier. You agree to provide accurate, current, and complete information and to keep it updated. You are responsible for safeguarding your login credentials and for all activity that occurs under your account. Notify us promptly of any unauthorized use. We may suspend or terminate accounts that violate these Terms.

5. Intellectual Property

The Site and its content — including text, graphics, logos, trademarks, photography, product descriptions, tasting notes, software, and the outputs of our AI sommelier — are owned by Preface Wine or its licensors and are protected by intellectual property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Site for personal, non-commercial purposes. No other rights are granted, and you may not reproduce, distribute, modify, or create derivative works from our content without our prior written permission.

6. Acceptable Use

You agree not to:

• Scrape, harvest, or copy Site content or data by automated means, or use bots, spiders, or similar tools on the Site.
• Resell products purchased from us. Resale of alcohol without a license is unlawful, and all purchases are for personal consumption or lawful gifting only.
• Use the Site for any unlawful purpose, including purchasing or attempting to purchase alcohol for anyone under 21.
• Interfere with the operation or security of the Site, attempt to gain unauthorized access to any systems or data, or reverse engineer any portion of the Site.
• Impersonate any person or misrepresent your affiliation with any person or entity.

7. Customer Content and Feedback

If you submit reviews, ratings, tasting notes, photos, or other content to the Site or our social channels, you grant Preface Wine a perpetual, irrevocable, worldwide, royalty-free, sublicensable license to use, reproduce, modify, publish, and display that content in connection with our business. You represent that you own or control the rights to what you submit and that it does not violate the rights of others. We may remove any content at our discretion. Suggestions and feedback may be used by us without restriction or obligation to you.

8. Disclaimer of Warranties

THE SITE AND ITS CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. Wine recommendations, including those generated by our AI sommelier, are provided for general informational purposes; individual taste and experience may vary. Nothing in this section limits the remedies described in our Returns & Refund Policy for damaged or flawed products.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, PREFACE WINE AND ITS MEMBERS, MANAGERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE OR ANY PURCHASE FROM US. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE SITE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US IN THE TWELVE (12) MONTHS BEFORE THE CLAIM AROSE OR (B) ONE HUNDRED DOLLARS ($100). Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

10. Indemnification

You agree to indemnify, defend, and hold harmless Preface Wine and its members, managers, employees, and agents from and against any claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your breach of these Terms, your content, your misuse of the Site, or your violation of any law or the rights of any third party.

11. Governing Law, Venue, and Waivers

These Terms are governed by the laws of the State of Florida, without regard to its conflict of law rules. Any dispute arising out of or relating to these Terms, the Site, or any purchase from us will be brought exclusively in the state or federal courts located in Palm Beach County, Florida, and you and Preface Wine each consent to personal jurisdiction and venue in those courts.

JURY TRIAL WAIVER: TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AND PREFACE WINE EACH WAIVE THE RIGHT TO A TRIAL BY JURY IN ANY DISPUTE ARISING OUT OF OR RELATING TO THESE TERMS OR THE SITE.

CLASS ACTION WAIVER: ALL CLAIMS MUST BE BROUGHT IN THE PARTIES’ INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.

Any claim arising out of or relating to these Terms or the Site must be commenced within one (1) year after the claim accrues; otherwise, it is permanently barred, to the extent permitted by law.

12. Changes to These Terms; Termination; General

• We may update these Terms from time to time by posting the revised version on the Site with a new effective date. Your continued use of the Site after changes take effect constitutes acceptance of the revised Terms.
• We may suspend or terminate your access to the Site or your account at any time for violation of these Terms or applicable law. Sections that by their nature should survive termination (including Sections 5, 7, 8, 9, 10, and 11) will survive.
• If any provision of these Terms is held unenforceable, the remaining provisions remain in full force. Our failure to enforce any provision is not a waiver of it.
• You may not assign these Terms without our written consent; we may assign them in connection with a sale or reorganization of our business.
• These Terms, together with the policies incorporated in Section 13, are the entire agreement between you and Preface Wine regarding the Site and your purchases, and supersede any prior agreements on that subject.

13. Incorporated Policies

The following Preface Wine policies are incorporated into these Terms by reference and form part of your agreement with us:

• Preface Policy Terms (Effective July 27, 2026): Part 1 — Shipping & Delivery Policy; Part 2 — Returns & Refund Policy; Part 3 — Reservation & Event Policy; Part 4 — Wine Club Subscription Policy.
• Privacy, Cookies & Text Message Policies (Effective June 29, 2026): Part 1 — Privacy Policy; Part 2 — Cookies Policy; Part 3 — Text Message (SMS) Permission Policy.

If these Terms conflict with an incorporated policy, the incorporated policy governs for its specific subject matter (for example, shipping, refunds, events, subscriptions, or privacy), and these Terms govern in all other respects.
